Welcome to SOUL x COFFEE, a self-service coffee station franchise chain based in Vienna, Austria. These general terms and conditions govern the use of our self-service coffee stations and the purchase of our coffee products, as well as the sale of our franchise stations to franchisees. By using our self-service coffee stations or purchasing our franchise stations, you agree to be bound by these terms and conditions.
1. Use of Self-Service Coffee Stations:
1.1. Usage of the station
Our self-service coffee stations are designed for use by customers. By using our self-service coffee stations, you agree to follow the instructions for use, as well as any additional guidelines or regulations that we may post on our stations.
SOUL x COFFEE cannot be held responsible for any accidents or damages resulting from improper usage of the station.
When using the coffee stand, please place your cup on the drain tray before making your selection and payment. Only then should you choose your drink and make a payment. Please carefully follow all instructions for using the coffee stand to ensure a safe and enjoyable experience.
1.2. We make every effort to ensure that our coffee is of the highest quality. However, we cannot be held responsible for any variations in taste or temperature due to factors such as weather or customer usage of the self-service coffee stations.
1.3. You are responsible for disposing of your cup and any other waste properly. Please use the designated disposal bins for your convenience and the cleanliness of the environment.
2. Purchase of Coffee Products:
2.1 Payment methods
We accept payments via credit card, debit card, bank transfer, and QR Code of related App on phone. Our payment system is secure and reliable, ensuring that your transactions are processed quickly and efficiently.
Please note that prices may vary depending on the location, season, and conditions at each installation site. We do our best to keep our prices up-to-date, but we reserve the right to adjust them as necessary. Please check our website or contact us for current pricing information.
2.3. If you are not satisfied with your purchase, please contact us within 24 hours of the transaction. We will make every effort to address any concerns and issue a refund if necessary.
2.4. If you have any complaints or concerns about our self-service coffee stations or our products, please contact us as soon as possible. We will make every effort to address your concerns and provide a satisfactory resolution.
Amendments or supplements to a contract must be made in writing. This also applies for the amendment of the written form requirement.
Award of orders
Orders will be awarded solely in writing or by e-mail.
Offer, submission of an offer, offer acceptance
Orders from SOUL x COFFEE are only legally binding if they are made in writing or by e-mail and are signed by a company representative.
An offer addressed to SOUL x COFFEE must be binding for at least 60 (sixty) days, unless otherwise agreed. The acceptance must be done in writing or by e-mail.
The creation of offers submitted to SOUL x COFFEE is free of charge, irrespective of the time and effort required to draw them up.

3. Purchase of Franchise Stations:
3.1. We offer franchise stations to interested parties who are willing to operate our self-service coffee stations in their own territories.
Franchise fee and Royalty.
3.2. The initial franchise fee and ongoing royalties will be specified in the franchise agreement. Please note that the prices listed on our website are not a public offer. Any commercial offer will be calculated individually based on a variety of factors. Prices are subject to constant indexing.
3.3. Each franchisee will be assigned a specific territory in which they may operate. This territory will be defined in the franchise agreement and may include certain restrictions on the proximity of other franchise locations.
3.4. The franchise agreement will be in effect for a specific term, after which it may be renewed subject to certain conditions. The agreement may be terminated by either party for cause, subject to certain conditions and penalties.
Transfer of risk
Unless otherwise agreed in writing, the goods will be delivered to the delivery addressed notified by the customer. Responsibility for risk and accident will be transferred to the customer on handover of the goods. A handover pursuant to this provision also exists if the goods have been handed over to a forwarding agent or carrier. SOUL x COFFEE reserves the right to fulfil an order by partial deliveries.
The customer explicitly acknowledges that SOUL x COFFEE, in the event of the fulfilment of the statutory prerequisites for a claim arising from the title of warranty/compensation, is entitled initially to improve in the form of exchange, replacement of the missing part and repair. Only after the unsuccessful expiry of an appropriate improvement period to be defined in individual cases can the customer file a claim for price reduction.
The defective goods are to be returned by the customer to SOUL x COFFEE immediately. SOUL x COFFEE is not liable for consequential damage, indirect damage, losses or loss of earnings and in addition is only liable in the event of wilful intent or gross negligence. The liability in the event of slight negligence is expressly excluded by mutual agreement. The deadline for the filing of warranty is agreed to be one year from delivery of the goods.
In the event of other exclusion of warranty and compensation, the customer is obligated to check the goods pursuant to the provisions of the Austrian Business Code (UGB) on delivery and to give notification of any defects/damage. No liability for guarantee or compensation will be assumed for used appliances. If the buyer does not accept the goods forming the subject of the purchase, SOUL x COFFEE is entitled optionally to insist on acceptance or to demand 30% of the purchase price as flat-rate compensation for damage and costs.
These general terms and conditions represent the entire agreement between SOUL x COFFEE and our customers or franchisees. They supersede any prior agreements or understandings, whether written or oral. These terms and conditions may not be modified except in writing signed by both parties.
Any disputes arising from these terms and conditions or the use of our self-service coffee stations or franchise stations will be resolved through arbitration in accordance with the laws of Austria.
If any provision of these terms and conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
SOUL x COFFEE reserves the right to amend these terms and conditions at any time. Any such amendments will be posted on our website and will take effect immediately upon posting.
